User Terms of Use

Consumer platform terms for Eazer Technological Solutions Inc.. Effective August 1, 2026.

These Terms apply to Eazer Shops customers. For Eazer Rides (rider app), see the same User Terms on the ride-hailing page.

Merchants and delivery or driver partners have separate agreements. See our Merchant Terms and Conditions and Delivery & Mobility Partner Agreement.

Privacy is governed by our Privacy Policy (Shops) or Privacy Policy (Rides).

IMPORTANT

These Terms govern the consumer-facing use of the Eazer Platform in Canada. They are designed to work with the Eazer Privacy Policy, Refund & Cancellation Policy, Community/Safety Standards, Restricted Products Policy and any service- or jurisdiction-specific addendum shown in the App.

These Terms of Use (the “Terms”) are a legal agreement between you and Eazer Technological Solutions Inc. (“Eazer”, “we”, “us” or “our”), unless the Eazer App clearly identifies another Eazer affiliate as the contracting party for a particular service or jurisdiction.

1. Acceptance of These Terms

By selecting “I Agree”, creating an Eazer account after being presented with these Terms, or otherwise completing an affirmative acceptance process provided by Eazer, you agree to be bound by these Terms and the policies expressly incorporated by reference. Merely browsing a publicly accessible portion of the Platform without creating an account does not, by itself, constitute acceptance of provisions that require affirmative consent. If you do not agree to these Terms, do not create an account or use services that require acceptance.

2. Eligibility

  • You must have reached the age of majority in the province or territory where you reside to maintain an independent Eazer account, unless Eazer expressly offers a supervised, family or youth service under separate terms.
  • You must be legally capable of entering into the transactions you request and must comply with any age, identity or eligibility requirements applicable to a particular product or service.

3. Definitions

“App” means the Eazer mobile application and any related Eazer website or digital interface. “Customer” or “you” means the person using the Platform to request or purchase goods or services. “Merchant” means a restaurant, retailer, seller or other business offering goods or services through Eazer. “Delivery Partner” means a person or business using Eazer to perform delivery or courier services. “Mobility Partner” means a driver or transportation provider using Eazer for ride-hailing or another mobility service where that service is legally activated. “Platform” means Eazer’s applications, websites, software, marketplace, ordering, payment-facilitation and related technology services. “Third-Party Provider” means a Merchant, Delivery Partner, Mobility Partner or other independent provider supplying the underlying goods or services.

4. What Eazer Provides

  • Eazer operates a technology-enabled marketplace that allows Customers to discover, request, purchase or arrange goods and services from Third-Party Providers.

Depending on the transaction, Eazer may provide marketplace access, order transmission, payment facilitation or collection, customer support, logistics coordination, promotional services, communications and other platform functionality.

  • Unless the App expressly identifies Eazer as the seller or direct provider, the underlying goods, meals, transportation or delivery services are supplied by the applicable Third-Party Provider.
  • Eazer does not become the seller merely because it facilitates payment, communication or delivery.
  • Nothing in these Terms excludes or limits any responsibility Eazer has under applicable law, licence or regulatory requirement.

5. Your Account and Security

  • Provide accurate and current account, contact and payment information.
  • Keep your credentials confidential and use reasonable security measures on devices used to access Eazer.
  • Do not sell, transfer, lend or share your account in a way that circumvents identity, age, payment, safety or eligibility requirements.
  • Notify Eazer promptly if you suspect unauthorized access, fraud or compromise of your account, device or payment credentials.
  • Eazer may require reasonable identity, age, payment, fraud-prevention or safety verification.
  • You remain responsible for activity you authorize through your account, subject to applicable consumer, payment and fraud-protection rights.
  • Eazer may restrict duplicate or related accounts created to evade restrictions, debts, enforcement, promotional rules or safety controls.

6. Ordering Through Eazer Shops

The App will identify the Merchant and display the selected products, then-applicable prices, estimated or applicable taxes and fees, available fulfillment method and the transaction total or calculation method before you submit the order. Selecting “Place Order”, “Confirm Order”, “Pay” or an equivalent button submits your request. Unless the App expressly states otherwise, your submission is an offer to purchase the selected goods from the identified Merchant.

  • The Merchant’s acceptance of the order, whether communicated through the Platform or through commencement of fulfilment where permitted, creates the underlying purchase agreement between you and the Merchant.
  • Eazer may facilitate the transaction, transmit instructions, collect payment and coordinate fulfillment without becoming the seller of the Merchant’s goods.

An order may be rejected, modified or cancelled where reasonably necessary because of unavailable inventory, inaccurate listing information, pricing or technical error, failed payment authorization, inability to obtain a Delivery Partner, suspected fraud, safety concerns, legal restrictions, Merchant closure or another legitimate operational reason.

  • You will be informed of a material cancellation or adjustment and any resulting refund or payment adjustment.

7. Merchant Responsibilities

Merchants are responsible for the goods and food they sell, including product descriptions, prices, ingredients and allergen information they provide, inventory, food preparation, food safety, packaging, product quality, required licences and legal authority to sell.

  • Eazer may establish platform standards, conduct reviews, remove listings or take enforcement action, but those activities do not transfer a Merchant’s legal responsibility for its goods to Eazer.

8. Prices, Fees and Payment

Before you confirm a transaction, Eazer will display or make reasonably clear the charges applicable to that transaction.

  • Depending on the service, charges may include:the Merchant’s product or meal subtotal;

applicable GST/HST, provincial sales tax or other taxes;an Eazer Customer Service Fee, currently 5% of the eligible order subtotal unless another amount or calculation is clearly disclosed before you place the order;a distance-based delivery fee, which may also reflect disclosed factors such as route, service type, delivery area, time, demand, availability or special fulfilment requirements;optional tips;optional priority or enhanced-service charges; small-order, cancellation, regulatory or other service-specific charges, but only where applicable and disclosed before confirmation to the extent required by law; promotions, credits, substitutions, refunds or authorized price adjustments. Eazer may introduce or change fees from time to time. A revised fee does not apply retroactively to an order already confirmed. Mandatory non-government charges will not be intentionally hidden until after you become committed to a transaction. You authorize Eazer and its payment service providers to process the amount presented for confirmation and any later adjustment expressly permitted by these Terms, such as an approved substitution, partial refund or authorized post-order adjustment.

  • Tips are voluntary unless applicable law provides otherwise. Where a tip is designated for a Delivery or Mobility Partner, Eazer will handle the tip in accordance with the applicable partner program and law.

9. Payment Authorization and Failed Payments

  • You must use a payment method that you are authorized to use. Eazer may place temporary authorization holds where supported by the payment method.

If payment fails, is reversed or is lawfully disputed, Eazer may cancel the transaction, request another payment method, suspend further paid transactions, or recover amounts properly owed, subject to applicable law.

  • Eazer may use payment processors and other service providers. Payment-provider terms may also apply to your use of their services.

10. Delivery

Delivery times are estimates unless the App expressly guarantees a service level. You must provide a safe and accurate delivery address, access instructions and a method of contact.

  • Where you request or authorize unattended delivery, an order may be considered delivered once it is placed at the location you designated and reasonable proof of delivery is recorded.

Perishable, regulated or age-restricted goods may not be left unattended where unsafe or prohibited by law. If delivery cannot be completed because of inaccurate information, customer unavailability, inability to access the location, a failed age-verification requirement or unsafe conditions, the order may be returned, cancelled or otherwise handled as permitted by law and the applicable refund rules.

11. Pickup

For pickup orders, you are responsible for collecting the order from the Merchant during the stated pickup window and following any reasonable pickup or identity-verification instructions.

12. Food Allergies and Dietary Requirements

  • Merchants control food preparation and are responsible for the menu, ingredient and allergen information they provide through the Platform.

Food may be prepared in facilities where allergens are present. Eazer does not independently prepare Merchant food and cannot independently guarantee that a meal is allergen-free. If you have a serious allergy or dietary restriction, review the Merchant’s information and contact the Merchant through available channels before ordering where necessary. Merchants must not knowingly misrepresent ingredients, allergen information or dietary characteristics. Nothing in this section limits responsibilities imposed by applicable food-safety, consumer-protection or other law.

13. Restricted and Age-Restricted Products

Certain product categories may be offered only in selected jurisdictions and only after Eazer activates the required compliance controls. Where a product is legally age-restricted, you may be required to provide valid government-issued identification at purchase, pickup or delivery. Delivery or sale may be refused where identification is unavailable or invalid, the recipient does not meet the legal age requirement, the recipient is legally ineligible to receive the product, or another required legal condition is not satisfied. No provision in these Terms authorizes the purchase, sale or delivery of a product where doing so is prohibited by law.

14. Eazer Rides

Eazer Rides will be available only in jurisdictions where Eazer has activated the service and applicable regulatory requirements have been satisfied. Availability of the Eazer App in a location does not itself mean that Eazer Rides is authorized or available there.

  • Where Eazer Rides is legally available, the App may connect you with drivers authorized for the service. Fare components, taxes and applicable fees will be shown or explained as required by law.

Ride services may be subject to additional provincial, territorial, state, municipal, country-specific, safety, insurance or regulatory terms. Mandatory local law prevails over inconsistent contractual language.

15. Cancellations, Refunds and Order Problems

Cancellation and refund eligibility depends on the status of the transaction, the service type, Merchant preparation, Delivery or Mobility Partner dispatch, the condition of the goods and applicable law.

  • Where the Merchant has not accepted or materially begun preparing an order, Eazer may permit cancellation without a cancellation charge.

After preparation has begun or a Delivery Partner has been dispatched, some amounts may be non-refundable where permitted by law and where the applicable cancellation consequence was disclosed.

  • If a Merchant cancels an accepted order because it cannot fulfil the order, amounts charged for unprovided items will ordinarily be refunded or otherwise adjusted.

If an order contains missing, incorrect, materially damaged or materially misdescribed items, or if an order is not delivered, report the issue through Eazer support within a reasonable period and provide requested information or photographs where appropriate.

  • Depending on the circumstances, Eazer may facilitate a replacement, partial refund, full refund or Eazer credit.

Where delivery fails because you supplied an incorrect address, could not lawfully receive a restricted item, could not be contacted after reasonable efforts, or created an unsafe delivery condition, refund eligibility may be reduced where permitted by law.

  • Nothing in this section limits any cancellation, refund, warranty, payment-dispute or other consumer right that cannot legally be waived.
  • Eazer may investigate suspected refund abuse, fabricated non-delivery claims, payment fraud or bad-faith chargebacks.

16. Promotions, Referral Benefits and Credits

  • Promotional codes, referral benefits, subscriptions, credits and special offers may be subject to additional terms, eligibility limits, geographic restrictions, expiry dates and funding rules.
  • Unless applicable law requires otherwise, promotional value has no cash value and may not be sold, duplicated or transferred except as expressly permitted by Eazer.
  • Fraudulent or abusive use may result in cancellation of the benefit and reasonable account restrictions.

17. Prohibited Conduct

  • Use the Platform for illegal, fraudulent, abusive, threatening, discriminatory or unsafe conduct.

Purchase, sell or transport prohibited substances, stolen goods, counterfeit goods, unlawful weapons or other restricted items except where Eazer has lawfully enabled the category. Impersonate another person, falsify identity information or create accounts for account farming, promotion abuse or evasion. Manipulate location, delivery evidence, ratings, refunds, chargebacks or referral programs. Harass, threaten, discriminate against or endanger Merchants, Partners, Customers or Eazer personnel.Scrape, reverse engineer, bypass security, interfere with Platform operation or use unauthorized automated access.

  • Use the Platform to facilitate unlawful activity or violate another person’s rights.

18. Ratings, Reviews and User Content

You may submit ratings, reviews, photographs or other content. You retain ownership of your content but grant Eazer a worldwide, non-exclusive, royalty-free licence to host, reproduce, display, adapt and use that content for operating, improving and promoting the Platform, subject to applicable privacy law.

  • Content must be truthful, lawful, relevant and must not infringe third-party rights. Eazer may moderate, restrict or remove content that violates law, these Terms or platform standards.

19. Privacy

Eazer’s collection, use, disclosure, safeguarding and retention of personal information are governed by the Eazer Privacy Policy and applicable privacy law. The Privacy Policy describes, among other matters, Eazer’s handling of account information, payment-related information, location information, order and ride history, device information, identity verification, fraud prevention, customer-service communications, analytics, marketing choices, retention, cross-border service providers and privacy rights. Consent to receive promotional electronic messages is handled separately from acceptance of these Terms.

20. Communications and Electronic Records

  • Transactional communications about your account, orders, rides, safety, security, payments and service operation are part of the service and may be sent electronically.
  • Promotional communications will be sent in accordance with applicable law and your marketing choices. You may use available unsubscribe or preference-management tools.
  • Where applicable law requires a document or agreement to be retainable, Eazer will provide it in a form capable of being saved, accessed or printed.

21. Third-Party Services

  • The Platform may integrate payment processing, maps, telecommunications, identity verification, fraud prevention or other third-party services. Separate third-party terms may apply to your direct use of those services.
  • Nothing in this section excludes responsibility Eazer has for its own acts or for third-party service providers where applicable law imposes such responsibility.

22. Safety and Emergencies

  • Eazer is not an emergency service. In an emergency, contact the appropriate public emergency service.
  • You must follow reasonable Eazer safety, security and fraud-prevention instructions.

Subject to the Privacy Policy and applicable law, Eazer may disclose relevant information to emergency responders, law-enforcement authorities or other appropriate parties where reasonably necessary to address an emergency, serious safety concern, fraud or legal requirement.

23. Suspension, Restriction and Account Closure

  • You may stop using Eazer and request account closure, subject to outstanding transactions, amounts properly owed, fraud or safety investigations and legal retention obligations.

Eazer may restrict, suspend or terminate an account where reasonably necessary because of fraud, payment abuse, threats or harassment, unlawful conduct, safety concerns, repeated material policy violations, sanctions requirements, misuse of promotions, account compromise or another material breach.

  • Where reasonably practicable, Eazer will provide notice of a significant suspension or termination and information about how to request review.
  • Immediate restriction may occur without advance notice where Eazer reasonably believes delay would expose Customers, Merchants, Partners, Eazer or the public to material fraud, security, legal or safety risk.
  • Closing an account does not eliminate rights or obligations relating to completed transactions or amounts already due.

24. Intellectual Property

  • The Eazer name, trademarks, software, interfaces, designs, databases and platform content are owned by or licensed to Eazer.
  • Subject to these Terms, Eazer grants you a limited, revocable, non-exclusive and non-transferable right to use the Platform for its intended personal or business-account purpose.
  • You may not copy, modify, distribute, sell, reverse engineer or misuse Eazer intellectual property except where applicable law expressly permits it.

25. Platform Availability and Allocation of Responsibility

To the extent permitted by applicable law, Eazer does not guarantee that the Platform will operate without interruption or technical error or that every Merchant or Third-Party Provider will have continuous inventory or availability.

  • Merchants remain responsible for goods, food preparation, product descriptions and other matters allocated to them under these Terms and applicable law.

Delivery and Mobility Partners remain responsible for performing services allocated to them, subject to responsibilities imposed on Eazer by applicable law or licence. Eazer remains responsible for its own obligations and does not exclude any warranty, condition, remedy or liability that cannot lawfully be excluded or restricted.

26. Limitation of Liability

  • To the maximum extent permitted by applicable law, Eazer will not be liable for indirect, incidental, special or consequential losses that were not reasonably foreseeable from Eazer’s breach.

To the extent permitted by law, Eazer is not responsible for losses caused solely by a Customer’s unauthorized sharing of credentials, a Merchant’s unavailable inventory, or delays caused by events outside Eazer’s reasonable control. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence where it cannot lawfully be limited, or another liability that applicable law does not permit Eazer to exclude or restrict.

  • Nothing in these Terms limits non-waivable rights or remedies under applicable consumer-protection law.

27. Force Majeure

Eazer is not responsible for delay or failure caused by events outside its reasonable control, including severe weather, natural disaster, widespread telecommunications or power failure, government action, civil emergency, labour disruption or similar events, except to the extent applicable law provides otherwise.

28. Governing Law and Dispute Resolution

These Terms and your relationship with Eazer are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, except to the extent mandatory law of another province or territory applies to you and cannot contractually be displaced. Before commencing formal proceedings, you and Eazer are encouraged to attempt to resolve the dispute through Eazer Customer Support and, if unresolved, Eazer’s internal escalation process. Where appropriate, the parties may agree to mediation. Nothing in these Terms prevents you from exercising a right to complain to a regulator, consumer-protection authority, privacy commissioner or court where applicable law gives you that right. These Terms do not impose mandatory consumer arbitration or a class-action waiver unless a future jurisdiction-specific addendum validly provides otherwise.

29. Changes to These Terms

  • Eazer may update these Terms to reflect changes in services, technology, business operations, law, safety requirements or commercial practices.

Non-material administrative or operational changes may become effective when posted. Where a change materially affects your contractual rights or obligations, Eazer will provide reasonable advance notice where required or appropriate. Where applicable law requires affirmative consent, Eazer will obtain that consent before the material change becomes binding. Changes will not retroactively alter a completed transaction unless permitted by law and expressly agreed.

  • The current version, effective date and prior versions designated for retention will be available through the Eazer Legal Centre or another accessible method.

30. General Terms

  • If a provision of these Terms is found unenforceable, it will be interpreted or severed to the minimum extent necessary, and the remaining provisions will continue in effect where legally permitted.

Eazer’s failure to enforce a provision on one occasion does not waive the right to enforce it later. Eazer may assign these Terms as part of a merger, corporate reorganization, financing, asset transfer or transfer to an affiliate, subject to applicable law. You may not assign your account or these Terms without Eazer’s consent.

  • Headings are for convenience and do not affect interpretation.
